1. Acceptance of Terms

By creating an account or using the Emissa platform, you agree to be bound by these Terms of Service ("Terms"). If you are using Emissa on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the service.

2. Description of Service

Emissa is a B2B SaaS platform that automates Scope 1, 2, and 3 emissions reporting for mid-market suppliers. The service includes:

  • Import of QuickBooks transaction export files (CSV) for emissions categorization
  • Calculation of emissions using EPA emission factors and GHG Protocol methodology
  • Generation of audit-ready compliance reports in formats specified by major buyers (Walmart Project Gigaton, Costco Sustainability Audit, Target SSA, Apple Supplier SAQ, EcoVadis, CDP Climate Change Questionnaire, SBTi Science-Based Targets, and others)
  • Buyer verification portal access for procurement buyers invited by the supplier account holder

Emissa reserves the right to add, remove, or modify features at any time. We will notify users of material changes to the service via email or in-app notice.

3. Accounts and Eligibility

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your login credentials and all activity under your account. You may not share your account credentials with third parties. You must be at least 18 years old and legally capable of entering into binding contracts to use Emissa.

Emissa reserves the right to suspend or terminate accounts that provide false information or that we determine are being used in violation of these Terms.

4. Subscription & Payment

Plans and Pricing

Emissa offers the following subscription plans:

All prices are in USD and exclude applicable taxes. Current pricing is always available at emissa.tech/pricing.

Commitment & Billing

All subscriptions require a 12-month commitment. Billing is annual in advance. A setup fee applies to new accounts — the amount is communicated at the time of purchase.

Refunds

Emissa does not provide refunds for partial subscription periods. If you cancel your subscription before the end of your 12-month commitment, you remain responsible for the full year's subscription fees. If you believe a billing error has occurred, contact hello@emissa.tech within 30 days of the charge.

Automatic Renewal

Your subscription will automatically renew at the end of each 12-month term at the then-current rate unless you cancel at least 30 days before the renewal date. You can cancel by contacting hello@emissa.tech or through the account settings in your Emissa dashboard.

Failed Payments

If a payment fails, we will attempt to collect the payment again within 7 days. If payment is not received after 3 attempts, Emissa reserves the right to suspend your account. You will not have access to the platform while payment is outstanding.

5. Acceptable Use

You agree not to use Emissa to:

  • Generate fraudulent, misleading, or falsified emissions reports
  • Impersonate another company, buyer, or regulatory body
  • Attempt to gain unauthorized access to another user's buyer verification portal
  • Upload malicious files or attempt to exploit vulnerabilities in the platform
  • Use the service to conduct any activity that would violate applicable law or regulation in your jurisdiction
  • Resell or redistribute the Emissa service without prior written authorization
  • Reverse engineer, decompile, or disassemble the Emissa platform or its outputs

Violations of the acceptable use policy may result in immediate account suspension or termination without refund.

6. Intellectual Property

Our property: Emissa and its original content, features, and functionality are owned by Emissa and are protected by international copyright, trademark, and intellectual property laws. You may not copy, reproduce, or redistribute any Emissa code, designs, or documentation without our express written consent.

Your data: You retain full ownership of the data you upload to Emissa, including QuickBooks exports, transaction records, and emissions calculations. You grant Emissa a limited, revocable license to process your data solely to provide the service.

Generated reports: The reports Emissa generates are tools to assist your compliance process. You are responsible for reviewing all reports before submission to buyers or regulators. Emissa does not guarantee that any report will satisfy a specific buyer's audit requirements.

7. Data Ownership & Portability

You own all data you input into Emissa. We do not claim ownership of your transaction data, emissions data, or any reports you generate. You may export your data from Emissa at any time in a machine-readable format by contacting hello@emissa.tech.

When you delete your account, we will delete your personal data within 30 days as described in our Privacy Policy, subject to legal retention requirements.

8. Disclaimers & Warranties

EMISSA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or completely secure. Emissions factors used by Emissa are sourced from publicly available EPA and GHG Protocol data. While we use commercially reasonable efforts to ensure accuracy, Emissa does not guarantee that any calculation, report, or output will satisfy the specific requirements of any buyer, regulator, or third-party audit.

You are solely responsible for reviewing and approving all reports before submission. Emissa recommends that you have a qualified sustainability professional validate critical emissions data before submission to regulatory bodies or major buyers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMISSA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE EMISSA SERVICE, EVEN IF EMISSA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EMISSA'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO EMISSA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation does not apply to liability arising from gross negligence, willful misconduct, or fraud.

10. Indemnification

You agree to indemnify, defend, and hold harmless Emissa and its affiliates, officers, and employees from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Emissa service in violation of these Terms; (b) your submission of fraudulent or inaccurate emissions reports to third parties; (c) your violation of any applicable law or regulation; or (d) your violation of the rights of any third party.

11. Termination

By you: You may cancel your subscription at any time by contacting hello@emissa.tech. Cancellation takes effect at the end of your current 12-month subscription period. You remain responsible for all fees through that date.

By Emissa: We may suspend or terminate your account immediately if we determine you have violated these Terms, provided false information during signup, or engaged in fraudulent activity. We will attempt to provide written notice where permitted by law.

Effect of termination: Upon termination, your access to the platform and all buyer portal links will cease. Data retention after termination is governed by our Privacy Policy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of Emissa shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida, USA.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes — such as changes to pricing, payment terms, acceptable use policies, or liability limitations — we will notify you by email at least 30 days before the changes take effect. Your continued use of Emissa after changes take effect constitutes your acceptance of the revised Terms. Material changes will be posted on this page with an updated "Last updated" date.
